OVERVIEW

Welcome to PWInspo. These Terms of Service (“Terms”) govern your access to and use of the PWInspo website, online store, and all related information, content, features, tools, products, and services made available through the foregoing (collectively, the “Services”).

The terms “PWInspo,” “we,” “us,” and “our” refer to the legal entity operating PWInspo. The terms “you” and “your” refer to any person accessing or using the Services or purchasing products through the Services.

Our online store is hosted and powered by Shopify, which provides the e-commerce platform through which we offer our products and Services.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING, BROWSING, PURCHASING FROM, OR OTHERWISE USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, TOGETHER WITH OUR PRIVACY POLICY, REFUND POLICY, SHIPPING POLICY, AND ANY OTHER POLICIES EXPRESSLY INCORPORATED HEREIN BY REFERENCE.

If you do not agree to these Terms, you may not access or use the Services.

SECTION 1 — ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent and warrant that you are at least the age of majority in your state or jurisdiction of residence or that you otherwise possess the legal capacity necessary to enter into a binding agreement.

You may be required to provide certain information in connection with your use of the Services, including your name, email address, billing information, payment information, and shipping information. You represent and warrant that all information you provide is accurate, current, and complete and that you possess all rights and authorizations necessary to provide such information.

If you create an account, you are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity occurring through your account. You shall promptly notify PWInspo of any known or suspected unauthorized use of your account.

You may not sell, assign, transfer, sublicense, or otherwise make your account available to another person.

SECTION 2 — PRODUCTS AND PRODUCT INFORMATION

PWInspo endeavors to describe and display its products as accurately as reasonably practicable. Notwithstanding the foregoing, product photographs, colors, dimensions, packaging, finishes, textures, fragrance descriptions, and other visual or sensory characteristics may vary based upon manufacturing processes, natural product variations, device displays, lighting, individual perception, or other circumstances.

Fragrance descriptions and similar sensory descriptions are provided for informational purposes only and are inherently subjective. Such descriptions do not constitute a guarantee that any individual customer will perceive a fragrance, appearance, or other subjective characteristic in a particular manner.

Reasonable variations that do not materially alter the nature or intended function of a product shall not constitute a defect or misrepresentation.

We reserve the right, subject to applicable law, to modify product descriptions, packaging, specifications, availability, or other product information; discontinue products; or limit quantities offered to any person, household, geographic area, or jurisdiction.

Nothing in this Section limits any warranty, remedy, or other right that cannot lawfully be excluded or limited.

SECTION 3 — ORDERS; ACCEPTANCE; CANCELLATION

The display of products through the Services constitutes an invitation to make an offer and does not constitute a binding offer by PWInspo.

By submitting an order, you offer to purchase the products identified in your order subject to these Terms. Receipt of an order confirmation or authorization of payment does not necessarily constitute final acceptance of an order.

PWInspo reserves the right, to the extent permitted by applicable law, to accept, reject, limit, or cancel an order for legitimate business reasons, including, without limitation:

(a) product unavailability or inventory errors;
(b) pricing, description, or other listing errors;
(c) suspected fraud or unauthorized payment activity;
(d) inability to verify billing, shipping, or payment information;
(e) suspected commercial resale or other prohibited activity;
(f) violation of these Terms; or
(g) circumstances that make fulfillment commercially impracticable or unlawful.

If PWInspo cancels an order after payment has been collected, PWInspo will issue any refund required by applicable law to the original method of payment.

Customers are responsible for reviewing all order information before submission. Requests to modify or cancel an order should be submitted promptly. PWInspo will make reasonable efforts to accommodate such requests but does not guarantee that an order can be modified or canceled after processing or fulfillment has commenced.

Returns and refunds are governed by our Refund Policy.

SECTION 4 — PRICES, PAYMENT, AND BILLING

All prices are stated in United States dollars unless otherwise indicated.

Prices, discounts, promotions, and product availability are subject to change without notice, except that changes will not retroactively alter the price of an order already accepted by PWInspo except where permitted by law to correct an error.

Unless expressly stated otherwise, displayed product prices exclude applicable taxes, shipping charges, customs duties, import charges, and similar governmental or transactional charges.

You agree to provide current, complete, and accurate purchase, payment, billing, and account information. You represent and warrant that you are authorized to use any payment method submitted in connection with an order.

PWInspo reserves the right to correct pricing, promotional, typographical, or other errors. If an error affects an order you have submitted, PWInspo may, as permitted by applicable law, notify you and provide an opportunity to proceed under corrected terms or cancel the affected order and issue any required refund.

Promotional offers, discount codes, or special programs may be subject to additional terms. Unless expressly stated otherwise, promotions may not be combined. PWInspo reserves the right to reject or cancel promotional transactions involving fraud, abuse, manipulation, or violation of applicable promotional terms.

SECTION 5 — SHIPPING AND DELIVERY

Shipping and delivery estimates are estimates only unless PWInspo expressly represents otherwise.

PWInspo will fulfill and ship orders in accordance with applicable law and any shipping representations made at the time of purchase. Where applicable law requires PWInspo to provide notice of a shipping delay, obtain consent to a revised shipment date, permit cancellation, or issue a refund, PWInspo will comply with such requirements.

PWInspo is not responsible for delays attributable solely to a carrier, customs authority, severe weather, natural disaster, governmental action, labor interruption, or other circumstance beyond PWInspo's reasonable control, provided that nothing in this provision limits any non-waivable right or remedy available to a customer under applicable law.

Customers are responsible for providing complete and accurate delivery information. PWInspo shall not be responsible for losses or delays resulting from inaccurate or incomplete shipping information supplied by the customer, except to the extent otherwise required by law.

SECTION 6 — PRODUCT USE AND SAFETY

You are responsible for using all products in accordance with applicable product instructions, warnings, labels, and generally recognized safety precautions.

Candles and other flame-producing products must be used only as directed and must never be left burning unattended. Customers shall keep candles and open flames away from children, pets, drafts, flammable materials, and other hazards and shall discontinue use where continued use would be unsafe.

To the fullest extent permitted by applicable law, PWInspo shall not be responsible for injury, property damage, or other loss caused by misuse, unauthorized modification, failure to follow provided instructions or warnings, or use of a product in a manner inconsistent with its intended purpose.

Nothing in this Section excludes or limits liability that may not lawfully be excluded or limited.

SECTION 7 — WELLNESS, INSPIRATIONAL, AND EDUCATIONAL CONTENT

PWInspo products, publications, website content, social media content, written materials, prompts, affirmations, reflections, and other materials relating to peace, purpose, alignment, intentional living, personal development, or wellness are provided for general informational, inspirational, and educational purposes only.

Such materials are not intended to constitute, and shall not be construed as, medical, psychological, psychiatric, therapeutic, legal, financial, or other professional advice, diagnosis, treatment, or services.

PWInspo does not represent or warrant that any product, publication, exercise, affirmation, reflection, or other content will produce any particular physical, psychological, emotional, financial, professional, or other result.

Nothing offered through the Services is intended to replace consultation with an appropriately qualified professional where such consultation is warranted.

SECTION 8 — INTELLECTUAL PROPERTY

The Services and all content comprising or made available through the Services, including without limitation the PWInspo name and marks, trademarks, service marks, logos, trade dress, product names, product descriptions, written works, books and excerpts, affirmations, prompts, photographs, graphics, artwork, videos, audio, designs, page layouts, packaging designs, downloadable materials, and other original content (collectively, “PWInspo Content”), are owned by or licensed to PWInspo and are protected by applicable copyright, trademark, and other intellectual-property laws.

Except as expressly authorized in writing by PWInspo, you may not reproduce, copy, modify, distribute, publish, transmit, display, perform, create derivative works from, sell, license, commercially exploit, scrape, systematically extract, or otherwise use PWInspo Content except for your personal, noncommercial use of the Services.

No provision of these Terms transfers to you any ownership interest in PWInspo Content or grants any license except the limited right to access and use the Services in accordance with these Terms.

All rights not expressly granted are reserved.

The names, trademarks, logos, and other intellectual property of Shopify and other third parties remain the property of their respective owners.

SECTION 9 — THIRD-PARTY SERVICES, TOOLS, AND LINKS

The Services may contain or provide access to third-party websites, payment processors, applications, tools, platforms, integrations, or other services.

PWInspo does not control and is not responsible for the availability, accuracy, security, content, terms, privacy practices, products, or services of independent third parties.

Your use of third-party services may be governed by separate terms and policies established by the applicable third party. You are responsible for reviewing such terms before using a third-party service.

To the fullest extent permitted by law, PWInspo shall not be liable for loss or damage arising solely from your independent use of a third-party website, product, or service that is not controlled by PWInspo.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

PWInspo's online store is powered by Shopify, which provides the e-commerce platform enabling PWInspo to offer products and Services to customers.

Purchases made through the PWInspo store are transactions directly between the customer and PWInspo. Shopify is not the seller of PWInspo products and is not responsible for PWInspo's fulfillment of customer orders, except to the extent Shopify independently assumes obligations under its own applicable terms or applicable law.

Nothing in these Terms expands or diminishes any rights or obligations imposed upon Shopify independently by applicable law or by agreements directly between you and Shopify.

SECTION 11 — PRIVACY

PWInspo's collection, use, disclosure, and processing of personal information is governed by our Privacy Policy.

Because the Services are hosted by Shopify, certain personal information may also be collected or processed by Shopify and other service providers in connection with operating, securing, processing payments for, analyzing, or otherwise providing the Services.

By using the Services, you acknowledge that you have had an opportunity to review the applicable privacy disclosures.

SECTION 12 — REVIEWS, FEEDBACK, AND USER-SUBMITTED CONTENT

If you voluntarily submit, upload, transmit, post, tag, or otherwise provide PWInspo with reviews, photographs, videos, testimonials, comments, suggestions, ideas, or other content (“User Content”), you represent and warrant that you own or possess all rights necessary to provide such User Content and to grant the license set forth below.

You grant PWInspo a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to reproduce, display, publish, distribute, adapt, format, and otherwise use User Content in connection with PWInspo's business, Services, products, advertising, marketing, social media, and promotional activities, subject to applicable law.

You retain any ownership rights you otherwise possess in your User Content.

You represent and warrant that your User Content:

(a) does not infringe or violate any copyright, trademark, privacy, publicity, contractual, or other right of any person;
(b) is not knowingly false, defamatory, fraudulent, unlawful, threatening, obscene, or malicious;
(c) does not contain malware or other harmful code; and
(d) accurately discloses any material connection, compensation, discount, gift, or other incentive associated with an endorsement where disclosure is required by law.

PWInspo may moderate, refuse, or remove User Content to the extent permitted by applicable law and applicable platform rules.

SECTION 13 — ERRORS, INACCURACIES, AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, availability, or other matters.

PWInspo reserves the right to correct such errors, inaccuracies, or omissions and, where permitted by applicable law, to update information or cancel an affected order.

Nothing in this Section authorizes PWInspo to avoid obligations arising from an accepted order or applicable consumer-protection law where such obligations cannot lawfully be waived.

SECTION 14 — PROHIBITED USES

You may use the Services only for lawful purposes and in accordance with these Terms.

You shall not, directly or indirectly:

(a) use the Services in violation of any applicable law or regulation;
(b) infringe or misappropriate the intellectual-property or proprietary rights of PWInspo or any third party;
(c) engage in fraud, deception, impersonation, harassment, abuse, or other unlawful conduct;
(d) submit knowingly false, misleading, defamatory, obscene, or unlawful material;
(e) introduce viruses, malicious code, or other technologically harmful material;
(f) interfere with the security, operation, integrity, or availability of the Services;
(g) attempt to gain unauthorized access to any account, system, network, or information;
(h) collect, harvest, or misuse personal information concerning other users;
(i) use automated systems, bots, scraping technologies, data-extraction tools, or similar means to systematically access or extract PWInspo Content except as expressly authorized by PWInspo or permitted by applicable law;
(j) circumvent technological measures intended to restrict or control access to the Services;
(k) use PWInspo Content to develop, train, improve, or operate an artificial-intelligence or machine-learning system without PWInspo's prior written authorization, except to the extent such restriction is prohibited by applicable law; or
(l) use the Services in a manner reasonably likely to damage PWInspo, interfere with another person's use of the Services, or expose PWInspo or another person to liability.

PWInspo may suspend or terminate access to the Services for violations of this Section, subject to applicable law.

SECTION 15 — GIFT CARDS

Gift cards offered by PWInspo are subject to any terms disclosed at the time of purchase and to applicable federal and state law.

Except where required by law, gift cards are not redeemable for cash and are not eligible for return or refund after purchase.

Nothing in these Terms is intended to impose an expiration date, fee, forfeiture, or other restriction prohibited by applicable law.

SECTION 16 — TERMINATION

PWInspo may suspend or terminate your access to the Services where PWInspo reasonably determines that you have violated these Terms, engaged in unlawful or fraudulent conduct, threatened the security or integrity of the Services, or otherwise engaged in conduct warranting suspension or termination.

Termination does not extinguish payment obligations or other liabilities incurred before termination.

Provisions that by their nature are intended to survive termination—including provisions relating to intellectual property, User Content, disclaimers, limitation of liability, indemnification, governing law, and accrued rights—shall survive.

SECTION 17 — DISCLAIMER OF INFORMATION AND SERVICES

Except for warranties, representations, obligations, or remedies that cannot lawfully be excluded or limited, PWInspo does not warrant that access to the website or digital portions of the Services will be uninterrupted, secure, error-free, or continuously available.

Information made available through the Services is provided for general informational purposes. Although PWInspo endeavors to maintain accurate information, PWInspo does not warrant that all non-product informational content will at all times be complete, current, or free from error.

NOTHING IN THESE TERMS DISCLAIMS, EXCLUDES, OR MODIFIES ANY WARRANTY, RIGHT, REMEDY, OR LIABILITY THAT MAY NOT LAWFULLY BE DISCLAIMED, EXCLUDED, OR MODIFIED UNDER APPLICABLE LAW.

SECTION 18 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PWINSPO AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT WITH RESPECT TO LIABILITY THAT MAY NOT LAWFULLY BE LIMITED, PWINSPO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR TRANSACTION, PRODUCT, OR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID TO PWINSPO BY YOU FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING TO ANY LIABILITY OR REMEDY THAT CANNOT LAWFULLY BE WAIVED, DISCLAIMED, EXCLUDED, OR LIMITED.

SECTION 19 — INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless PWInspo and its owners, officers, directors, employees, agents, affiliates, contractors, licensors, and service providers from and against third-party claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys' fees arising out of or relating to:

(a) your material breach of these Terms;
(b) your violation of applicable law;
(c) your infringement or violation of a third party's rights;
(d) User Content submitted by you; or
(e) your fraudulent, unlawful, or willfully wrongful use of the Services.

PWInspo will provide reasonable notice of any claim for which indemnification is sought. PWInspo may assume control of the defense of such claim, and you agree to provide reasonable cooperation.

No settlement imposing a material non-monetary obligation upon you shall be entered on your behalf without your consent, which shall not be unreasonably withheld.

SECTION 20 — FORCE MAJEURE

PWInspo shall not be liable for a failure or delay in performance to the extent caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic, war, terrorism, civil disturbance, governmental action, labor disruption, transportation interruption, utility failure, telecommunications failure, carrier disruption, or material supply-chain interruption.

This Section does not excuse any refund, cancellation, notice, or other obligation that applicable law requires notwithstanding such circumstances.

SECTION 21 — SEVERABILITY

If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, such provision shall be enforced to the maximum extent permitted by law or, if necessary, severed, and the remaining provisions shall remain in full force and effect.

SECTION 22 — WAIVER; ENTIRE AGREEMENT

No failure or delay by PWInspo in exercising any right under these Terms shall operate as a waiver of that right.

These Terms, together with the Privacy Policy, Refund Policy, Shipping Policy, and any other policies or terms expressly incorporated herein, constitute the entire agreement between you and PWInspo concerning the subject matter addressed herein and supersede prior or contemporaneous communications concerning such subject matter.

In the event of a conflict between these Terms and a specific policy governing a particular transaction or promotion, the more specific provision shall govern with respect to that subject matter.

SECTION 23 — ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without PWInspo's prior written consent.

PWInspo may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or transfer of the business or applicable portion thereof, or as otherwise permitted by law.

SECTION 24 — GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.

Subject to any applicable law requiring otherwise, the parties consent to the personal jurisdiction of the state and federal courts located in Maryland and agree that such courts shall constitute the venue for disputes arising out of or relating to these Terms or the Services.

Nothing in this Section deprives a consumer of any protection afforded by law that cannot lawfully be waived by contract.

SECTION 25 — CHANGES TO THESE TERMS

PWInspo may revise these Terms from time to time.

The current version will be posted through the Services with an updated “Last Updated” date. Where applicable law requires additional notice or consent for a material change, PWInspo will provide such notice or obtain such consent.

Changes shall apply prospectively from their stated effective date unless applicable law permits otherwise.

Your continued use of the Services following the effective date of revised Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

SECTION 26 — NO THIRD-PARTY BENEFICIARIES

Except where these Terms expressly provide otherwise, these Terms are intended solely for the benefit of you and PWInspo and do not create enforceable rights in any other person or entity.
